This Software License Agreement (the “Agreement”) is a legal agreement between you (“Licensee”) and ServiceWorks Now (“Licensor”) governing the use of the software (the “Software”) accompanying this Agreement. By opening the packaging, installing, accessing, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not use the Software and promptly return it for a refund.

 

1. Grant of License

Licensor grants you a limited, non-exclusive, non-transferable license to use the Software solely for your internal business purposes in accordance with this Agreement and any accompanying documentation.

 

2. Ownership

The Software is licensed, not sold. Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights.

 

3. Restrictions

You agree not to:

a. Copy, modify, or create derivative works based on the Software.

b. Reverse engineer, decompile, or disassemble the Software, except as permitted by law.

c. Rent, lease, sublicense, or distribute the Software to third parties.

d. Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software.

 

4. Installation and Use

The Software may be installed and used on a single device unless otherwise specified in the documentation. Additional licenses must be purchased for use on multiple devices.

 

5. Updates and Upgrades

This license does not entitle you to updates, upgrades, or new versions of the Software unless explicitly provided by Licensor. Licensor may, at its discretion, provide updates, which will also be subject to this Agreement.

 

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

 

7. Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the Software, even if advised of the possibility of such damages.

 

8. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement if you breach any term. Upon termination, you must immediately stop using and destroy all copies of the Software.

 

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of laws principles.

 

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the Software and supersedes all prior agreements, whether written or oral.

 

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
